Non-Solicitation Clause

A clause preventing a departing worker from approaching a former employer's clients or staff for a period.

Non-solicitation is narrower than non-competition: the person may work in the industry, but may not actively pursue specified customers or employees. Because it restricts less, it is more likely to be enforced.

Why it matters: it is often the more practical protection, since courts are considerably more receptive to it than to a general non-compete.
