Mediation is a facilitated negotiation where the mediator does not impose an outcome. Arbitration is a private adjudication producing a binding award, usually with very limited rights of appeal. Many commercial contracts require one or both before litigation.
Why it matters: an arbitration clause can be binding, meaning a party who wants a public court hearing may not be able to have one.
