Convertible notes carry a maturity date and often interest, and typically convert at a discount to the next round's price or subject to a valuation cap. They defer the valuation question to a later, better-informed round.
Why it matters: a note is still debt until it converts. If the expected financing never happens, maturity can arrive with a repayment obligation the company cannot meet.
