Licences are defined by scope: exclusive or non-exclusive, territory, permitted field of use, duration, sublicensing rights, and fees. An assignment transfers ownership outright; a licence does not.
Why it matters: "perpetual" and "irrevocable" are not the same thing, and the difference can matter a great deal when a relationship ends.
