Corporate Bylaws

Also called: By-laws, Bylaw No. 1

The internal rulebook governing how a corporation is run day to day.

Bylaws cover how directors are elected, how meetings are called and conducted, who may sign contracts on the corporation's behalf, and how officers are appointed. They are adopted by the directors and usually confirmed by the shareholders.

Why it matters: banks, investors and buyers routinely ask to see bylaws during due diligence. Missing or unsigned bylaws are one of the most common reasons a financing or sale gets delayed.
