Minute Book

Also called: Corporate Records Book

The official record of a corporation's existence: articles, bylaws, resolutions, registers and share certificates.

A minute book holds the incorporation documents, bylaws, director and shareholder resolutions, the share register, and the register of directors and officers. It can be a physical binder or a maintained digital record.

Why it matters: an out-of-date minute book is a common and avoidable obstacle in financings, sales and even bank account openings. Bringing one current retroactively costs far more than maintaining it.
